B Part:
Through good negotiation on the basis of equity and mutual negotiation, A Part authorizes B Part the deputy of selling Konglan Drink Machine in _____ (place).Now the two sides have achieved the following opinion:
1、Distribution Period: from ___(date)___(month)___(year) to ___(date)___(month)___(year). If continuing the contract another negotiation will be held between two sides.
2、In_____(place), if B Part doesn¨t perform well and in the tryout period of continuous three months, A Part will not find another deputy for Konglan products in this area; Before B Part sells Konglan products out of the authorized area, B Part should get the literal agreement from A Part, or B Part will be fined at a rate of 100% sales amount.
3、B Part will independently run his business and independently be responsible for profit and loss.
4、A Part should provide eligible products. If there is a mass badness (the mass badness means 15% of the block of goods has problems.), A Part will provide free accessories; if there are big quality problems, A Part will be responsible for maintaining or exchanging the goods or even pay the loss caused by bad quality.
5、B Part is in charge of the after service of Konglan products in the aurthorized area; B Part will afford the maintenance charges in one year while A Part will provide one or two repair technicians and some necessary technical data for the maintenance. A Part will provide ＾old for new￣ service in the maintenance period of 14 months to exchange the heat pots, refrigeration slices, switch boards and fans. For the rubber products, A Part will provide the ＾old for new￣ service in one year, Out of one year the products should be sent back to the company and recount their value at the form of material and then new products will be got when the surplus price is given. Other parts should pay cash for exchanging the new ones.
6、A Part is in charge of the propaganda and generalization in the whole country while B Part is in charge of propaganda and generalization in the authorized region. Under special conditions, the investment is afforded by A Part if B Part¨s literal application gets the support of Part A.
7、Since the day of signing the contract, B Part should purchase the goods from A Part at a value of ____ in the first three months. From the fourth month the goods amounts should reach ____ and the annual goods amounts should be ___ ; or A Part will withdraw the franchise of B Part if B Part can¨t reach the lowest limitation of amounts at any month. A Part will set up other distribution stations and seek new deputies.
8、A Part will check the annual performance of B Part. A Part will reward B Part ___ percent of the actual distribution amount if the actual distribution amount of B Part has reached to ____; _____ percent if it reaches _____; ____ percent if it is over ____.
9、A Part will supply the goods to B Part at the member price, including cargo delivery price, the price without taxes (the price with taxes is the original price*1.05), the service fee occupying 1% of the distribution amount. A Part will monitor B Part's after service. If the clients appeal B Part on the service three times in one month, A Part will has the right to warn, criticize B Part and fine 20% of his reward.
10、The trade should go on with the cash and the presence of two sides. The goods will be delivered at the arrival of the payment. B Part will also show the irrevocable P.O. But the accept period should not surpasses three months. Or B Part will pay the interest. A Part will deliver the goods when he receive the effective P.O. from B Part
11、If the products of A Part are damaged by transportation, B Part should ask the carrier to sign up to recognize the damage at the time of checking the goods. After A Part affirm the damage the goods can be sent back to B Part. Or the damage is considered to be caused by B part and B Part should afford the loss.

13、In the tryout period of three months, because B Part can not open the market the goods are resorted. If the goods are unsealed or not damaged B Part can send the goods back to the storehouse of A Part when he gets A Part¨s agreement. The value is calculated according to the newly price but B Part will afford the fees. The article will be effective in the following three months from the day of signing the contract.
14、If B Part carries on the business in the name of the branches of A Part, B Part contracts the business during the period and B Part will independently take the responsibility. The item exists independently and has the law function.
15、The contract is stopped because of the breach of one side, the side should take on all the responsibilities according to Contract Laws of PRC.
16、Any unsettled problem should be resolved through negotiation. Any trouble arising from the contract should be sent to resolve by the regional court where A Part stays
17、There are two copies and each side has one copy. It is effective since the day of signing the contract.
